These Terms of Use constitute an agreement between you and us, governing your access to and use of our website and software, including any content, features, guides, articles, designs, templates and services residing therein. This agreement, alongside the policies specific to the products and services we offer, forms part of the legal framework governing the use of the Picime software and website.
"Picime" is Picime ("we", "our"). "Services" are: (1) our website, including the photo-sorting software; (2) our support services; (3) software updates; (4) a service provided to you as a client, as defined in the service order agreement; and (5) any other service we may add. "Software" means Picime — software for classifying and sorting photos.
If you do not understand these terms or do not agree to them, you must immediately leave the services and cease all use of them.
Your account is your responsibility. Keep your passwords to yourself only and do not let others use your login credentials. Adults only (age 18+).
You are solely responsible for all actions performed in the services under your identification, including your username and password. Keeping your password confidential is your sole responsibility; if you suspect a breach or unauthorized access, you must notify us immediately. Our policy is one account per person, and you may not hold more than one account or allow others to access your account. A corporation may grant access to one authorized employee on its behalf.
Account ownership: the account owner is whoever has access to the email address or phone number registered with us in respect of the account — and not necessarily whoever paid for it. All data entered by the account owner is their sole responsibility, and in the case of providing another person's personal data, they declare that they obtained the required consent.
Eligibility and identification: the services are intended for use by those aged 18 and over. By registering, you declare that you are 18 or older and undertake to supervise your account so that minors cannot gain access. We may verify your identity through third-party services. You must comply with the law and must not reopen an account that we have closed.
We own the Picime website and services, including the online store and the content we provide outside the software.
We own all intellectual property rights related to the services — including the data, platforms, algorithms, technology, design, user interface, texts, files, graphics, structure and features, and any modification, improvement and derivative of them. We retain full ownership of the source code of picime.com, except where we use third-party software. Except where we have expressly granted you a right to do so, all intellectual property rights remain with us.
If you give us feedback, we may use it, and you waive any intellectual property rights related to it.
If you provide us with feedback related to the services, the software or the website (usability issues, design suggestions, etc.), you agree that the feedback is not subject to any duty of confidentiality and that we are entitled to unlimited use of it for any purpose, without compensation or credit.
We collect and process personal information as required to provide the services. You are responsible for ensuring you have the right to share other people's information that you provide to us.
The collection and processing of personal data is subject to our Privacy Policy. If you are a client, personal data of other users and third-party information you provided is subject to the Data Processing Addendum ("DPA"), which forms an integral part of these terms. You grant Picime permission to use, process and store data you provide, solely for the purpose of providing the services and in accordance with the terms, the Privacy Policy and the DPA. You are solely responsible for obtaining all rights, consents and permissions required by law, including with respect to minors, and for compliance with all applicable privacy and data-protection laws. Picime may collect and use aggregated and anonymous data that does not identify you for its business purposes.
Be fair and reasonable. Use the website and services for your personal use, and do not misuse them.

When communicating with our team, please behave accordingly.
Our team has the right to work in a safe environment, free of abuse. We will not tolerate offensive or aggressive behavior — verbal or written — including threats, verbal abuse, demeaning remarks and rudeness. In such cases we may, at our discretion, stop direct communication, terminate the subscription and block access to the services.
Use of the services is at your sole risk, and the maximum compensation you can receive from us is limited.
The services are provided "AS IS" and without warranty of any kind, express or implied, including warranties of merchantability, non-infringement and fitness for a particular purpose. We do not warrant that the services will be uninterrupted or error-free, or free of viruses.
Our liability to you and to third parties, for any claim and on any legal basis, is limited to the amount you actually paid us in the thirty days preceding the occurrence of the damage. In no event will we be liable for indirect, incidental, consequential, special or punitive damages, or for loss of revenue or data. If you are a client, you own the content you create through the services and it is your sole responsibility.
If we are sued over something you did, it will be your responsibility to pay for it.
You agree to defend, indemnify and hold harmless us and those on our behalf from any loss, expense, claim or damage (including attorneys' fees) arising from (1) any content you upload in accordance with the Privacy Policy; and/or (2) any breach of these terms by you.
We may update these terms from time to time, and we will notify you.
No update will have retroactive effect. When we update material terms, we will notify you by email. Continued use after the update constitutes agreement to the new terms. If you believe an amendment materially harms your right to use the services you purchased, notify us and we will grant a partial refund for the period during which you cannot use the service, or discuss an adjustment of the terms that will apply to you only.
We may use third-party libraries and display ads. We are not responsible for them.
The services may contain parts provided by third parties and links to external resources. We do not filter, monitor or control this content, and any concern should be directed to the relevant provider. Third-party components in the software are subject to their own license terms, and in the event of a conflict — the component's license terms will prevail with respect to it. In addition, the services may display ads; we do not endorse, supervise or take responsibility for the content of the ads, even if they appear related to us.
We may close your account or terminate the services. Upon termination you must stop using the services.
We may terminate these terms or suspend your right to access the services immediately, at our discretion and subject to the law. Any clause that includes a representation or undertaking (including payment obligations) will continue to apply after termination. We will not be liable for damage caused as a result of termination or suspension. We will refund any amount for services that were not provided, less the cost of services already rendered.
All claims are under Israeli law and in Israel. No class action may be brought against us.
These terms are subject to and construed in accordance with the laws of the State of Israel, and exclusive jurisdiction lies with the courts of Tel Aviv. If any provision is found to be unenforceable, it will be amended to the extent necessary or deemed severable, without affecting the remaining terms. We may assign these terms; you may not assign them without our prior written consent. These terms constitute the entire agreement between us. You undertake not to bring a class action and to sue on an individual basis only. Who are we? Picime is an Israeli service.

If you open an account to order services from us — you are a "client". If you were only photographed at an event (even if you opened a free account) — you are not a client. The client pays for the services and is responsible for the lawfulness of processing the data.
There are two account types: a standard free account, through which you can upload and receive information according to the services ordered and linked to it; and a "premium" account, through which a paid order was placed. A "client" is someone who ordered paid services and undertook to pay for them. A "subject" is someone who took part in an event where the services were provided and received access through the client (a client may also be a subject).
Client's undertakings: you undertake to transfer contact details only of subjects whose details you are permitted to transfer, and to upload only information you are permitted to upload. You are responsible to the subjects for any claim arising from the provision of the services, and undertake to pay for all the services you ordered; late or cancelled payments may bear interest, linkage and penalties.
Billing details: you must provide accurate, complete and up-to-date billing details and update any change immediately; inaccurate details may cause payment problems and suspension of access. Personal information: the processing of personal information — whether provided by you or by the subjects — is carried out subject to our DPA. Cancellations: for an order made in the course of the client's business, cancellation is subject to the Terms of Use; for an order for private purposes, the relevant provisions of the Consumer Protection Law, 5741-1981 will apply.
